Coursera and Udemy Agree to $2.5 Billion Merger Deal

Two E-Learning Leaders Join Forces

Coursera and Udemy revealed on Wednesday that they have entered into a definitive merger agreement valued at approximately $2.5 billion, uniting two of the world’s most prominent online learning platforms. Under the terms of the deal, Coursera will acquire Udemy through an all-stock transaction, creating a combined company with a broader global footprint across individual learners, enterprises, and educators.

The companies said the transaction is expected to close in the second half of next year, subject to regulatory approvals and shareholder consent.

Market Pressures Set the Backdrop

The merger comes amid a difficult period for both firms. Although Coursera and Udemy each reported revenue growth in the third quarter of 2025, their respective share prices declined over the same period, highlighting ongoing investor concerns around profitability and long-term growth in the competitive online education sector.

By combining operations, the companies aim to strengthen their market position and restore investor confidence by leveraging complementary strengths across content, enterprise offerings, and technology.

Reassuring Investors on Growth Prospects

Executives from both companies emphasized that the merger is designed to unlock immediate value while positioning the combined entity for sustained long-term expansion.

“Through this combination with Coursera, we will create meaningful benefits for our learners, enterprise customers, and instructors, while delivering significant value to our shareholders, who will participate in the substantial upside potential of the combined company,” Udemy CEO Hugo Sarrazin said in a statement.

Accelerating AI-Driven Learning

Artificial intelligence is a central pillar of the strategic rationale behind the deal. As the digital learning market continues to grow — particularly with the rapid adoption of AI — Sarrazin noted that the merger will speed up the rollout of AI-powered products across the platforms.

Coursera recently announced an integration with OpenAI’s ChatGPT app ecosystem and a content partnership with Anthropic, strengthening its AI capabilities. Meanwhile, just two days before the merger announcement, Udemy launched its new “AI-powered microlearning experience,” designed to deliver shorter, more personalized lessons tailored to learners with limited time.

Addressing the AI Skills Gap in the Workforce

Both companies believe the merger will better equip them to respond to how AI is reshaping workplace requirements. As AI literacy increasingly becomes essential for employees, demand for relevant training continues to rise. Job postings requiring AI skills have surged in recent years, and one survey found that one in three hiring managers wouldn’t consider candidates without them.

“We’re at a pivotal moment in which AI is rapidly redefining the skills required for every job across every industry. Organizations and individuals around the world need a platform that is as agile as the new and emerging skills learners must master,” said Coursera CEO Greg Hart.

A Defining Moment for Online Education

If approved, the Coursera–Udemy merger would represent one of the most significant consolidations in the global e-learning industry, potentially reshaping how individuals and enterprises access digital education in an increasingly AI-driven economy.
